Terms of Service

These terms govern use of Zati, a service operated by Ternary Bits ("Zati", "we", "us"). They form an agreement between us and the business that subscribes ("you"). By using Zati you accept them.

1. What Zati does

Zati places an AI assistant on your website. The assistant answers visitor questions using only the information you supply, collects enquiry details from interested visitors, and sends those enquiries to you by SMS and email. It also sends you periodic summaries of its activity.

2. You are responsible for what the assistant is told

The assistant answers from a fact sheet built from information you provide and confirm. You are responsible for the accuracy of that information, including any prices, service areas, hours, and the list of work you do not undertake. We are not responsible for the consequences of the assistant repeating information you gave us that was wrong or became out of date.

The assistant is instructed not to state prices, timelines, or commitments that are not in your fact sheet, and to offer to take the visitor's details when it does not know something. It is nonetheless an automated system and may make mistakes. Tell us promptly if you see it say something incorrect.

3. The assistant does not form contracts

Nothing the assistant says constitutes a quote, an estimate, a booking, or an offer capable of acceptance, and it has no authority to bind you or us. Enquiries it captures are leads for you to follow up, not confirmed work.

4. Your obligations

  • You must own or be authorised to place code on the website where the assistant is installed.
  • You must maintain your own privacy policy covering the collection of visitor enquiries through the assistant, and any notice or consent your jurisdiction requires.
  • You must provide mobile numbers and email addresses for notifications only where the holder has agreed to receive them.
  • You must not configure the assistant to collect payment card details, government identifiers, account credentials, or protected health information.
  • You must not use Zati unlawfully, to mislead, or to attempt to extract information from the service that was not intended for you.

5. Data and privacy

For conversations on your website you are the controller of visitor information and we are your processor: we handle it to provide the service to you and under your instructions. Our Privacy Policy describes what we collect and who we share it with, and forms part of these terms. Conversation content is not used to train AI models.

6. Notifications

We send lead notifications by SMS and email. Delivery depends on mobile carriers and email providers and is not guaranteed. We keep a record of every delivery attempt so that a failure is visible rather than silent, but you should not treat SMS as a guaranteed channel. Reply STOP to any message to stop SMS to that number; doing so does not end your subscription, and enquiries will continue to be delivered by email.

7. Fees and term

Zati is billed monthly in advance at the rate agreed when you subscribed. The subscription runs month to month. Either of us may end it with 30 days' notice, effective at the end of the current billing month. Fees already paid are not refundable except where the law requires it or we have agreed otherwise in writing.

8. Availability

We do not promise uninterrupted service, and we offer no service level agreement. Zati depends on providers outside our control, including the AI model provider, our hosting provider, and mobile carriers. When the assistant cannot operate it is designed to fall back to a simple form that still captures the visitor's details.

9. Your data on termination

For 30 days after your subscription ends you may ask us for an export of your captured enquiries and conversation transcripts, and we will provide it in a machine-readable format. After that we may delete your data. You may ask us to delete it sooner and we will do so within 30 days of a verified request.

10. Disclaimers and limitation of liability

Zati is provided "as is" and "as available". To the fullest extent permitted by law we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, or lost business opportunities — including any enquiry that was not captured or not delivered. Our total liability arising out of or relating to Zati is limited to the fees you paid us in the three months before the event giving rise to the claim.

Some jurisdictions do not allow these exclusions, in which case they apply to you only as far as the law permits.

11. Indemnity

You will defend and indemnify us against claims arising from information you supplied for the assistant to use, from your use of enquiries we deliver to you, or from your breach of these terms.

12. Changes to these terms

We may update these terms. If a change materially affects you we will give at least 30 days' notice by email, and continuing to use Zati after it takes effect means you accept it. If you do not, you may end your subscription before the change applies.

13. Governing law

These terms are governed by the laws of the State of New Jersey, without regard to its conflict of laws rules, and the state and federal courts located in New Jersey have exclusive jurisdiction.
